Terms of Service

These Terms of Service ("Terms") govern your use of the Renew application and website (the "Service") provided by Giovanni Martorella, trading as Renew ("we", "us", or "Renew"). By creating an account, purchasing a subscription, or otherwise using the Service you agree to these Terms.
1. The Service
Renew is a digital vault that helps individuals and households organise documents, renewals, warranties, subscriptions, insurance policies, licenses, and related expiration dates, and receive reminders before they lapse.
2. Your account
You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms. If you are an individual, you represent that you are at least 16 years old and of legal age to enter into a binding agreement in your jurisdiction.
3. Acceptable use
You agree not to misuse the Service. In particular you must not:
- Use the Service in a way that violates applicable law or the rights of others.
- Upload content that infringes intellectual property, contains malware, or is unlawful, fraudulent, or harmful.
- Attempt to gain unauthorised access to the Service, probe or scan for vulnerabilities, scrape data, or interfere with the Service's security or integrity.
- Resell, sublicense, or otherwise commercially exploit the Service outside your subscription.
- Reverse engineer or circumvent technical limitations of the Service.
4. Your content
You retain ownership of the records, documents, files, and other content you upload ("User Content"). You grant us a limited, worldwide, non-exclusive licence to host, store, transmit, and process User Content solely to provide and secure the Service. You are responsible for the User Content you upload and for having the necessary rights to store it.
5. Licence to use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service in accordance with the plan you have selected. All rights not expressly granted are reserved.
6. Intellectual property
The Service, including all associated software, design, branding, and documentation, is owned by Giovanni Martorella or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers ownership of the Service to you.
7. Subscriptions, payment, and billing
Renew offers a free tier and a paid "Premium" subscription. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, subscription renewal, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Please review those terms in addition to ours.
Premium subscriptions renew automatically at the end of each billing period until cancelled. You may cancel your subscription at any time from Settings inside the app or through Paddle at paddle.net. Please see our Refund Policy for information about refunds.
8. Service level and availability
We work to keep the Service available and performant, but we do not guarantee that it will be uninterrupted, error-free, or free from bugs. The Service is provided on an "as is" and "as available" basis, and to the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
9. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, present a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time and delete your account from Settings. Upon termination we will delete your User Content in accordance with our data retention practices, subject to a reasonable export window where applicable.
10. Limitation of liability
To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to Paddle in respect of the Service in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, consequential, special, incidental, or exemplary damages, including loss of profits, data, goodwill, or business opportunity. Nothing in these Terms limits liability that cannot be limited under applicable law (such as for fraud, death, or personal injury caused by our negligence).
11. Indemnity
You agree to indemnify and hold harmless Giovanni Martorella from and against any claims, damages, and expenses arising from your User Content, your misuse of the Service, or your breach of these Terms.
12. Force majeure
We are not responsible for failure or delay in performance caused by circumstances beyond our reasonable control.
13. Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
14. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which Giovanni Martorella maintains his principal place of business, without regard to conflict of law rules. Disputes will be handled by the competent state or federal courts located in that jurisdiction, unless another mandatory forum applies to you as a consumer.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will notify you through the Service or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
